Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Kinbox platform, operated by António Carvalho, trading as Kinbox (NIF 257928383), a sole trader (Empresário em Nome Individual) registered in Portugal ("Kinbox", "we", "us", "our").
By creating an account or using Kinbox, you agree to these Terms. If you do not agree, do not use the platform.
2. Definitions
- "Platform" — The Kinbox software and services accessible at getkinbox.com and associated mobile or desktop interfaces.
- "Gym Owner" / "Customer" — A business or individual who subscribes to Kinbox to manage their gym, studio, or fitness facility.
- "Staff" — Individuals added to a gym's Kinbox account by the Gym Owner.
- "Member" — A gym's end-customer whose data is managed via Kinbox.
- "Subscription" — The recurring SaaS fee paid by the Gym Owner to access Kinbox.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use Kinbox as a Gym Owner. By registering, you confirm that you meet these requirements.
If you are registering on behalf of a business, you represent that you have authority to bind that business to these Terms.
4. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must notify us immediately at hello@getkinbox.com if you suspect unauthorised access to your account.
5. Subscriptions and Billing
5.1 Plans
Kinbox offers the following subscription plans (pricing subject to change with 30 days' notice):

Annual billing is available at a discount equivalent to 2 months free, charged upfront. Monthly billing recurs on the same day each month.
Enterprise plans are available for franchise networks, multi-site operators, and organisations requiring custom SLAs, SSO, dedicated support, or custom contracts. Contact us at hello@getkinbox.com to discuss.
5.2 Free Trial
New accounts receive a 14-day free trial on the Growth plan. No credit card is required to start a trial. At the end of the trial, your account will be moved to the Starter plan unless you subscribe to a paid plan.
5.3 Payment
Subscription payments are processed by Stripe on our behalf. You authorise Kinbox to charge your chosen payment method on the applicable billing cycle.
5.4 Cancellation
You may cancel your subscription at any time from Settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods unless required by applicable law.
5.5 Late Payment
If a payment fails, we will retry and notify you. Accounts with outstanding balances may be downgraded or suspended after reasonable notice.
6. Platform Use — Gym Owners
As a Gym Owner, you may use Kinbox to:
- Manage your gym members, staff, classes, and bookings
- Collect payments from your members via Stripe Connect (Growth plan and above)
- Communicate with your members through in-platform announcements
- Access analytics and reports about your gym's operations
You agree to use the platform only for lawful purposes, comply with all applicable laws, not use Kinbox to process fraudulent transactions, and not attempt to reverse-engineer, copy, or resell the platform.
7. Payments Between Gyms and Members
When you use Kinbox to collect payments from members:
- Payments are processed via Stripe Connect Express and flow directly into your connected Stripe account. Kinbox never holds, controls, or has access to these funds.
- Member payment collection is available on the Growth plan and above. Starter plan accounts do not have access to Stripe Connect payment features.
- You are responsible for all Stripe processing fees applicable to your transactions.
- Kinbox charges a platform fee on certain payment methods, deducted automatically by Stripe at the point of transaction before payout:
- Card payments: 1.5% platform fee
- MB Way: 1.5% platform fee
- SEPA Direct Debit: no Kinbox platform fee
- In-person / cash payments logged via Kinbox: no Kinbox platform fee
- You are solely responsible for issuing invoices (faturas), receipts, and complying with all applicable tax law, including Portuguese IVA/VAT obligations.
- Kinbox accepts no liability for disputes between you and your members regarding payments, refunds, or services rendered.
8. Stripe Connect
To accept payments via Kinbox, you must connect a Stripe account. By doing so, you agree to Stripe's Connected Account Agreement (stripe.com/connect-account/legal). Kinbox has no liability for Stripe's actions or decisions regarding your Stripe account.
9. Member Data
By using Kinbox, you take on responsibility as a data controller for your members' personal data. You must have a lawful basis for collecting and processing member data, provide members with appropriate privacy notices, respond to data subject requests in accordance with GDPR, and not use member data for purposes outside the scope of your gym's operations.
Kinbox processes member data on your behalf as a data processor and will enter into a Data Processing Agreement (DPA) with you upon request.
10. Intellectual Property
All content, software, design, trademarks, and materials provided as part of Kinbox are owned by or licensed to António Carvalho, trading as Kinbox. You may not copy, modify, distribute, or create derivative works without our express written consent.
You retain ownership of all content you upload to the platform. You grant Kinbox a limited licence to store and process that content solely to provide the service.
11. Availability and Support
We aim for high availability but do not guarantee 100% uptime. Support is available via hello@getkinbox.com. Response times vary by plan.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Kinbox is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
- Our total liability to you for any claim arising from these Terms shall not exceed the amounts paid by you to Kinbox in the 3 months preceding the claim.
Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify and hold harmless Kinbox, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform in violation of these Terms, your violation of applicable law, or disputes between you and your gym members.
14. Termination
We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or engage in fraudulent or abusive behaviour. You may terminate your account at any time from Settings. Upon termination, your data will be retained for up to 12 months and then deleted, subject to legal retention obligations.
15. Modifications
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before they take effect.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Portugal. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal, without prejudice to your rights as a consumer under applicable EU law.
